Introduction and Acceptance

Welcome to Deadlina, the AI-powered deadline intelligence and prevention platform. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Deadlina ("we", "us", "our", "Company", "Service") governing your access to and use of our platform, website, services, and applications.

By accessing or using Deadlina, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

Important: These Terms include provisions that limit our liability and require you to resolve disputes with us through arbitration on an individual basis, not as part of any class action. Please read Section 17 (Dispute Resolution) carefully.

1. Eligibility

You must meet the following requirements to use Deadlina:

  • Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction
  • Legal Capacity: You must have the legal capacity to enter into binding contracts
  • Authorization: If using Deadlina on behalf of an organization, you represent that you have the authority to bind that organization to these Terms
  • Compliance: You must comply with all applicable laws and regulations in your jurisdiction
  • No Prohibition: You must not be prohibited from using our Service by any applicable law or prior agreement

2. Account Registration and Security

2.1 Account Creation

To access certain features of Deadlina, you must create an account by providing:

  • Accurate and complete registration information
  • A valid email address
  • A secure password
  • Any additional information requested during registration

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach
  • Taking reasonable measures to secure your account (e.g., enabling two-factor authentication)

2.3 Account Accuracy

You agree to keep your account information accurate and up-to-date. We reserve the right to suspend or terminate accounts with false, inaccurate, or incomplete information.

3. Subscription Plans and Pricing

3.1 Plan Tiers

Deadlina offers multiple subscription tiers:

  • Foundation: Free tier with basic features and limitations
  • Authority: Paid tier with advanced features and increased limits
  • Command: Premium tier for teams with unlimited features and dedicated support

3.2 Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payment is processed through our third-party payment processor (Stripe)
  • You authorize us to charge your payment method for all applicable fees
  • All fees are non-refundable except as required by law or expressly stated in these Terms
  • Prices are subject to change with 30 days' notice

3.3 Free Trials and Promotions

We may offer free trials or promotional periods. These offers:

  • Are subject to specific terms disclosed at the time of offer
  • May automatically convert to paid subscriptions unless cancelled
  • Cannot be combined with other offers unless explicitly stated
  • Are limited to one per customer unless otherwise specified

4. Cancellation, Refunds, and Downgrades

4.1 Cancellation Policy

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the end of the billing period
  • No refunds are provided for partial billing periods

4.2 Refund Policy

We offer a 14-day money-back guarantee for first-time annual subscriptions:

  • Request a refund within 14 days of your initial annual subscription purchase
  • Monthly subscriptions are not eligible for refunds
  • Refunds are not available for renewals
  • Abuse of the refund policy may result in account termination

4.3 Downgrades

If you downgrade to a lower-tier plan, the change takes effect at the end of your current billing period. Features not included in the lower tier will become inaccessible, and data exceeding new limits may be archived or deleted after 30 days' notice.

5. Acceptable Use Policy

You agree not to use Deadlina to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated means (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, lease, or redistribute the Service without authorization
  • Use the Service for illegal activities, fraud, or deceptive practices
  • Harass, abuse, or harm other users
  • Transmit spam, unsolicited communications, or promotional material
  • Impersonate any person or entity
  • Collect or store personal data of other users without consent

Violation of this policy may result in immediate suspension or termination of your account.

6. User Content and Data

6.1 Your Content

You retain all ownership rights to the content, documents, and data you upload to Deadlina ("User Content"). By uploading User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content as necessary to provide the Service
  • Use AI and machine learning to analyze your content for deadline extraction and insights
  • Make backups and ensure data redundancy
  • Aggregate and anonymize data for service improvement and analytics

6.2 Content Responsibility

You are solely responsible for:

  • The accuracy, legality, and appropriateness of your User Content
  • Ensuring you have all necessary rights and permissions to upload content
  • Compliance with data protection laws regarding any personal data in your content
  • Maintaining backups of important content

6.3 Prohibited Content

You may not upload content that:

  • Infringes on intellectual property rights
  • Contains malware or harmful code
  • Is illegal, obscene, defamatory, or threatening
  • Violates privacy or data protection laws
  • Contains confidential information you are not authorized to share

7. AI-Powered Services and Accuracy

7.1 AI Features

Deadlina uses artificial intelligence and machine learning to:

  • Extract deadlines, obligations, and compliance requirements from documents
  • Analyze risk levels and provide recommendations
  • Generate insights and predictions
  • Automate document categorization and tagging

7.2 Accuracy Disclaimer

IMPORTANT - NO GUARANTEE OF ACCURACY:

  • AI-extracted information may contain errors, omissions, or inaccuracies
  • You are responsible for verifying all AI-generated content
  • Deadlina is a tool to assist, not replace, human judgment and review
  • We do not guarantee the accuracy, completeness, or reliability of AI outputs
  • You should not rely solely on Deadlina for critical compliance or legal decisions

7.3 Professional Advice

Deadlina does not provide legal, financial, or professional advice. Information provided by the Service is for informational purposes only. Always consult with qualified professionals for matters requiring professional expertise.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All rights, title, and interest in Deadlina, including:

  • Software, code, algorithms, and technology
  • User interface, design, and visual elements
  • Trademarks, logos, and branding
  • Documentation, content, and materials
  • AI models and machine learning systems

are owned by or licensed to us and are protected by copyright, trademark, patent, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Deadlina for your internal business purposes, subject to these Terms. This license does not include:

  • The right to sublicense, sell, or distribute the Service
  • The right to modify, adapt, or create derivative works
  • The right to reverse engineer or access source code
  • Any rights not expressly granted in these Terms

9. Third-Party Services and Integrations

9.1 Third-Party Integrations

Deadlina may integrate with third-party services such as:

  • Google Workspace (Gmail, Drive, Calendar)
  • Payment processors (Stripe)
  • Cloud storage providers
  • Authentication services

9.2 Third-Party Terms

Your use of third-party integrations is subject to:

  • The availability and functionality of third-party services

9.3 No Liability for Third Parties

We are not responsible for the actions, content, or services of third-party providers. Any disputes with third parties are solely between you and the third party.

10. Data Security and Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using Deadlina, you consent to our data practices as described in the Privacy Policy.

While we implement industry-standard security measures:

  • We cannot guarantee absolute security
  • You are responsible for maintaining the security of your account
  • You should implement appropriate security measures for sensitive data
  • You must promptly report any suspected security breaches

11. Service Availability and Modifications

11.1 Service Availability

We strive to provide reliable service, but we do not guarantee:

  • Uninterrupted or error-free operation
  • Availability at all times (maintenance, updates may cause downtime)
  • Compatibility with all devices or software
  • Specific uptime percentages (except as specified in Enterprise agreements)

11.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service
  • Add or remove features
  • Update software and systems
  • Change APIs and integrations

We will provide reasonable notice for significant changes affecting paid features, except for emergency updates or security patches.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through account settings
  • Requesting account deletion via email
  • Ceasing to use the Service

12.2 Termination by Us

We may suspend or terminate your account immediately if:

12.3 Effect of Termination

Upon termination:

  • We may delete your account and User Content after 30 days
  • You remain liable for all fees incurred prior to termination
  • Provisions that should survive termination (e.g., indemnification, limitation of liability) remain in effect

13. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We specifically disclaim any warranties regarding:

  • Uninterrupted or error-free service
  • Security of data transmission or storage
  • Results or outcomes from using the Service
  • Compatibility with your systems or workflows
  • Third-party integrations or services

14. Limitation of Liability

14.1 Exclusion of Damages

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEADLINA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES
  • LOSS OF GOODWILL OR REPUTATION
  • FINES, PENALTIES, OR MISSED DEADLINES

ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 Liability Cap

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) $100 USD, or (b) the total amount you paid to Deadlina in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Deadlina and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Any actions taken by others using your account

16. Export Compliance

The Service may be subject to export control laws and regulations. You agree to:

  • Comply with all applicable export and import laws
  • Not use the Service in prohibited jurisdictions
  • Not provide access to individuals or entities on restricted lists
  • Not use the Service for prohibited purposes (e.g., weapons development)

17. Dispute Resolution and Arbitration

17.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@deadlina.com to attempt to resolve the dispute informally for at least 30 days.

17.2 Binding Arbitration

If informal resolution fails, you agree that disputes will be resolved through binding arbitration:

  • Arbitration will be conducted by a neutral arbitrator
  • Arbitration will be held virtually or in a mutually agreed location
  • The arbitrator's decision will be final and binding
  • Each party will bear their own costs unless otherwise awarded

17.3 Class Action Waiver

CLASS ACTION WAIVER

YOU AND DEADLINA AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in the United States.

19. Changes to These Terms

We may update these Terms from time to time:

  • We will notify you of material changes via email or through the Service
  • Changes take effect 30 days after notice
  • Your continued use after changes constitutes acceptance
  • If you disagree with changes, you must discontinue use and cancel your account

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Deadlina.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

20.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

20.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

20.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.

20.6 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Deadlina.
